1. Introduction
These Terms of Service ("Terms") govern your access to and use of ChainWatcher, including our website (stockcores.com), our staff/business management platform (web.stockcores.com), and our customer-facing application, ChainWatcher Wallet (wallet.stockcores.com) (collectively, the "Service"), provided by GProject Development LLC ("ChainWatcher," "we," "us," or "our").
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
3. Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account, and for maintaining the confidentiality of your login credentials.
4. Accounts & Registration
To use certain features of the Service, you must register for an account and provide accurate and complete information. You may register directly, or through Google or Apple Sign In. You must promptly update your account information if it changes, and you are responsible for safeguarding your password.
5. Payment & Billing
Certain features of the Service, including subscription plans and add-on purchases (such as AI credits), require payment. Payments are processed through our third-party payment processor, Stripe. By providing payment information, you authorize us to charge the applicable fees. Subscription fees are billed on a recurring basis until cancelled. All fees are non-refundable except as required by law or as otherwise stated at the time of purchase.
6. Intellectual Property
The Service, including its software, design, and content (excluding data you input), is owned by ChainWatcher and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. You retain ownership of the business and customer data you input into the Service.
7. Prohibited Conduct
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or other users' accounts; (c) interfere with or disrupt the Service's operation; (d) reverse engineer or attempt to extract the source code of the Service, except as permitted by law; or (e) use the Service to transmit any harmful or malicious code.
8. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms. You may cancel your account at any time. Upon termination, your right to use the Service will immediately cease, though certain provisions of these Terms will survive termination, including those related to intellectual property, disclaimers, and limitation of liability.
9. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CHAINWATCHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida.
11. Changes to These Terms
We may modify these Terms from time to time. We will indicate the date of the most recent revision at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
